Where the legal change of name from WAHOO BOOTCAMP to Codified Commerce remains subject to completion or recording by a governmental, banking, tax or contractual authority, references to Codified Commerce include the legally recognised partnership firm carrying on the business under that brand.

2. Nature of business

Codified Commerce provides digital and professional Shopify services principally through:

• Shopify Setup Support;
• Shopify Enterprise Support;
• Shopify Growth Support;
• Workflow Automations;
• custom applications;
• middleware and system integrations;
• ERP, CRM and WMS solutions;
• digital products;
• consulting;
• and training, where expressly purchased.

No physical goods are ordinarily supplied or shipped.

Services are delivered digitally through Shopify administration, collaborator access, applications, integrations, files, email, online meetings and other electronic methods.

3. Productized-service model

Codified Commerce operates through a prepaid, productized professional-service model.

The standard professional-service unit is one Workflow Automation, ordinarily priced at ₹10,000 per Workflow Automation, unless another price is displayed on the relevant product or service page or expressly agreed in writing.

A Workflow Automation is an all-in-one unit of professional execution. It may include analysis, research, planning, content, configuration, development, applications, automation, testing, deployment and other supporting work.

The fee is not divisible into retrospective prices for:

• individual tasks;
• hours;
• pages;
• meetings;
• applications;
• prompts;
• software usage;
• or internal resources.

For standard productized services, the applicable product page, service page, checkout information, Terms of Service and published policies collectively define the engagement.

A separate quotation or Scope of Work is issued only where Codified Commerce expressly accepts a bespoke enterprise engagement outside the standard productized-service model.

4. Independent Shopify Partner disclaimer

Codified Commerce is an independent Shopify Partner and professional service provider.

Codified Commerce is not:

• Shopify Inc.;
• an employee of Shopify;
• a subsidiary of Shopify;
• an agent or legal representative of Shopify;
• or authorised to bind Shopify contractually.

References to Shopify and Shopify products identify the platforms with which Codified Commerce works. They do not imply ownership, sponsorship or endorsement beyond participation in the applicable Shopify Partner programme.

Shopify and its associated names, trademarks, platforms, software and services remain the property of Shopify Inc. or their respective owners.

5. Third-party trademarks

All third-party names, trademarks, logos and product names appearing on the website are the property of their respective owners.

References may be made to platforms including Shopify, Google, Meta, Amazon, payment gateways, enterprise systems and software providers solely to:

• describe compatibility;
• identify integrations;
• explain professional experience;
• or identify the environment in which a service operates.

Such references do not imply partnership, endorsement or ownership unless expressly stated.

6. Codified Algorithmic Thinking™

Codified Algorithmic Thinking™ is the proprietary commerce execution and growth framework developed by Codified Commerce.

Trademark and copyright applications relating to Codified Algorithmic Thinking™ have been filed and are pending.

Current application references include:

The ™ symbol indicates a claim of proprietary rights. It does not represent that trademark registration has already been granted.

7. Codified Commerce intellectual property

Unless expressly stated otherwise, Codified Commerce retains all rights, title and interest in its pre-existing and reusable intellectual property, including:

• Codified Algorithmic Thinking™;
• methodologies;
• frameworks;
• algorithms;
• workflow architecture;
• prompt libraries;
• AI orchestration systems;
• analytical models;
• prioritisation systems;
• automation logic;
• implementation sequences;
• reusable software modules;
• internal documentation;
• research methods;
• templates;
• and associated know-how.

Purchasing a professional service gives the client the right to use the completed client-specific deliverable for its intended business purpose, subject to full payment and the applicable Terms of Service.

It does not transfer ownership of the underlying methodology or reusable intellectual property.

8. Client-specific deliverables

Client-owned information provided to Codified Commerce remains the client’s property. This may include:

• trademarks;
• logos;
• product information;
• product images;
• customer data;
• business records;
• and other client-supplied materials.

Subject to full payment, the client may use the completed client-specific Shopify output for the store or project for which it was purchased.

Any wider assignment of source code, reusable modules, intellectual property or commercial rights must be expressly agreed in writing.

9. Prohibited use

No person may, without prior written authorisation:

• reproduce or resell Codified Algorithmic Thinking™;
• copy proprietary materials;
• extract or redistribute prompts;
• reverse-engineer internal workflows;
• duplicate workflow architecture;
• claim Codified Commerce intellectual property as their own;
• train another provider using proprietary materials;
• sublicense reusable Codified Commerce systems;
• circumvent technical protections;
• or use the website or services unlawfully.

Nothing in this section restricts a client from using a fully paid client-specific deliverable for its intended purpose.

10. Website content

Unless otherwise attributed, content published on codifiedcommerce.com is owned by or licensed to Codified Commerce.

This includes:

• text;
• service descriptions;
• frameworks;
• diagrams;
• graphics;
• photographs;
• videos;
• downloadable materials;
• branding;
• website structure;
• and visual assets.

Website content may not be copied, republished, scraped, commercially exploited or redistributed without prior written permission, except where permitted by law.

Images used on the website may be illustrative and do not necessarily depict employees, clients, offices or actual project outcomes.

11. No professional legal, tax or financial advice

Codified Commerce is a commerce-technology and Shopify professional-service provider.

Unless expressly agreed through a suitably qualified professional engagement, information and tools supplied by Codified Commerce do not constitute:

• legal advice;
• tax advice;
• accounting advice;
• investment advice;
• insurance advice;
• financial advice;
• or regulatory certification.

Clients must obtain advice from appropriately qualified lawyers, Chartered Accountants, tax practitioners or other professionals for matters requiring regulated professional advice.

12. Tax and regulatory tools

Any application, automation, integration or information relating to:

• GST;
• IGST;
• invoicing;
• exports;
• customs;
• DGFT;
• FEMA;
• RoDTEP;
• taxation;
• or regulatory reporting

is supplied as a technology or execution aid.

The client remains responsible for:

• verifying the accuracy of its records;
• determining its legal obligations;
• reviewing generated information;
• filing returns;
• paying taxes;
• and obtaining professional advice.

Codified Commerce does not guarantee approval, acceptance, tax treatment, regulatory clearance or the absence of penalties.

13. Insurance and financial-services disclaimer

Codified Commerce does not act as:

• an insurer;
• insurance intermediary;
• underwriter;
• bank;
• lender;
• payment provider;
• investment adviser;
• or regulated financial-services provider.

Any software feature involving protection, credit, insurance, payments or financial processing is a technology implementation only unless expressly stated otherwise.

The merchant or regulated third-party provider remains responsible for compliance with applicable financial and insurance laws.

14. Third-party platforms and integrations

Codified Commerce services may depend on third-party platforms, APIs, applications and software.

These third parties are independent and governed by their own terms, pricing, privacy practices and availability.

Codified Commerce does not control and is not responsible for:

• third-party outages;
• API changes;
• discontinued functionality;
• account suspension;
• application rejection;
• pricing changes;
• data supplied by third parties;
• or changes in third-party terms and policies.

The client is responsible for obtaining and maintaining valid credentials, licences, subscriptions and permissions needed for an integration.

15. Artificial intelligence disclosure

Codified Commerce may use artificial intelligence and automation tools as part of professional execution.

AI-assisted work may include:

• research;
• content preparation;
• coding assistance;
• classification;
• analysis;
• workflow orchestration;
• testing;
• and operational automation.

AI-generated or AI-assisted output is reviewed and applied according to the nature and limitations of the purchased workflow.

The use of AI does not entitle a client to receive:

• internal prompts;
• model configurations;
• chain-of-thought reasoning;
• tool-selection logic;
• proprietary orchestration;
• internal cost allocation;
• or reusable workflow instructions.

16. Accuracy of information

Codified Commerce takes reasonable care when preparing website content and professional deliverables.

However, website information may:

• become outdated;
• contain errors;
• depend on third-party information;
• or require adaptation to a particular client’s circumstances.

The client must verify information that is material to:

• legal compliance;
• taxation;
• product safety;
• pricing;
• business decisions;
• regulatory filings;
• and customer claims.

Codified Commerce may correct or update website information without prior notice.

17. No guaranteed commercial results

Codified Commerce provides professional execution and does not guarantee:

• sales;
• revenue;
• profitability;
• traffic;
• leads;
• search rankings;
• answer-engine visibility;
• generative-engine visibility;
• conversion rates;
• Product Market Fit;
• advertising performance;
• customer retention;
• or return on investment.

Commercial outcomes depend on matters outside the exclusive control of Codified Commerce, including products, customers, pricing, competitors, platforms, algorithms, economic conditions and client decisions.

18. Limitation of liability

To the maximum extent permitted by applicable law, Codified Commerce’s total liability arising from a particular purchased product, service or Workflow Automation is limited to the amount paid for the specific product, service or workflow giving rise to the claim.

Codified Commerce is not liable for indirect, consequential, incidental or special loss, including loss of:

• revenue;
• profit;
• opportunity;
• goodwill;
• anticipated savings;
• reputation;
• or data.

This limitation does not exclude or restrict liability that cannot lawfully be excluded.

19. Data protection and privacy

Personal data is processed according to the Codified Commerce Privacy Policy and applicable data-protection law.

Depending on the engagement, Codified Commerce may process:

• business contact information;
• Shopify account information;
• store information;
• customer information;
• transaction information;
• access credentials;
• technical logs;
• and communications.

The client must ensure that it has the authority and lawful basis to provide any personal data made available to Codified Commerce.

The client should not provide unnecessary sensitive information through email, WhatsApp or other unsecured communication channels.

Applicable privacy obligations will be interpreted according to the Digital Personal Data Protection Act, 2023, the Digital Personal Data Protection Rules and other laws and notifications in force from time to time. India’s DPDP framework has phased commencement rather than every substantive obligation taking effect on a single date.

20. Credentials and Shopify access

The client is responsible for maintaining appropriate control over its:

• Shopify administrator accounts;
• collaborator permissions;
• passwords;
• API credentials;
• domain credentials;
• payment-provider credentials;
• and third-party accounts.

Codified Commerce will use granted access only for authorised service delivery and related support.

Access may be removed or restricted after completion, suspension or termination of the engagement.

Clients should revoke credentials that are no longer required.

21. Communications

Official communications may be sent through:

• email;
• WhatsApp;
• Shopify notifications;
• checkout notifications;
• invoices;
• subscription portals;
• or scheduled online meetings.

The client is responsible for keeping its contact information current and reviewing communications relating to billing, renewal, delivery and access requirements.

Informal calls or messages do not amend the published Terms unless Codified Commerce expressly confirms the amendment in writing.

22. Relationship with other policies

This Legal Notice must be read together with:

• the Terms of Service;
• Subscription Policy;
• Return and Refund Policy;
• Shipping & Delivery Policy;
• Privacy Policy;
• Contact Information;
• applicable product page;
• applicable service page;
• and checkout terms.

Where a product-specific written term expressly differs from this general notice, the product-specific term applies to that purchase, subject to applicable law.

23. Governing law and jurisdiction

This Legal Notice and Codified Commerce’s products and services are governed by the laws of India.

Subject to mandatory consumer-protection or other legal requirements, disputes shall be subject to the jurisdiction of the competent courts at Coimbatore, Tamil Nadu, India.

Before initiating formal proceedings, the parties should first attempt to resolve the matter through good-faith written communication.

24. Statutory rights

Nothing in this Legal Notice is intended to exclude, restrict or override a right, remedy or liability that cannot lawfully be excluded.

Where a mandatory provision of applicable law conflicts with this notice, that mandatory provision applies to the extent of the conflict.

25. Updates

Codified Commerce may update this Legal Notice to reflect:

• changes in the business;
• changes in legal identity;
• new products or services;
• changes in technology;
• regulatory developments;
• or revisions to published policies.

Updates apply prospectively to future purchases and subscription renewals unless otherwise required by law or expressly accepted by the parties.

The version available at the time of purchase ordinarily governs that purchase.
