Codified Commerce is an independent Shopify Partner and Expert service provider. We are not an employee, subsidiary, affiliate, agent, or representative of Shopify Inc. The following trademarks and products are the exclusive property of Shopify Inc.:

3. Proprietary IP — Codified Commerce & CAT Framework

The following are proprietary intellectual property of Codified Commerce:

Unauthorised reproduction, resale, redistribution, or reverse engineering of any Codified Commerce product, framework, methodology, or codebase is strictly prohibited and may result in legal action under the Indian Copyright Act 1957 and the Information Technology Act 2000.

4. Website Content

4.1 All content on codifiedcommerce.com — including text, images, product descriptions, frameworks, playbooks, and visual assets — is the intellectual property of Codified Commerce unless otherwise attributed. 4.2 Content may not be copied, reproduced, or distributed without prior written permission from Codified Commerce. 4.3 Product card images featuring models are used for illustrative purposes only and do not imply endorsement by the individuals depicted.

5. Limitation of Liability

5.1 Codified Commerce provides custom Shopify applications and professional services on an "as delivered" basis. We do not warrant that our apps or services will be error-free, uninterrupted, or fit for any purpose beyond the agreed scope. 5.2 Codified Commerce's total liability to any client shall not exceed the amount paid for the specific product or service giving rise to the claim. 5.3 Codified Commerce is not liable for:

  • Loss of revenue, profit, or business opportunity
  • Data loss or corruption arising from API usage
  • Third-party platform failures (Shopify, Amazon, Flipkart, Myntra, payment gateways)
  • Regulatory penalties arising from client's use of compliance tools
  • Indirect, consequential, or incidental damages of any kind

6. Regulatory & Compliance Disclaimer

6.1 GST & Tax: The Codified Commerce GST App and Codified Commerce India Exporter Compliance App are execution tools. They do not constitute tax advice. Clients remain solely responsible for their GST, IGST, and export compliance obligations under Indian law. 6.2 DGFT / FEMA / RoDTEP: Codified Commerce does not guarantee regulatory approvals, scrip issuances, or compliance clearances. Clients should consult a qualified Chartered Accountant or legal advisor for all regulatory filings. 6.3 Shipping Protection / Fintech: Codified Commerce does not act as an insurer, underwriter, or financial services provider. The Codified Commerce Shipping Protection App is a technology tool. Any protection or insurance offered to end-customers is the sole responsibility of the client merchant and must comply with applicable IRDAI regulations. 6.4 B2B Commerce: The Codified Commerce B2B App and Codified Commerce Sales Pipeline CRM are commerce execution tools. Codified Commerce is not responsible for client's B2B contractual obligations, credit decisions, or trade terms with their buyers.

7. Third-Party Links & Integrations

7.1 Codified Commerce's apps and website may reference or integrate with third-party platforms including Amazon, Flipkart, Myntra, SAP, and others. These platforms are independent of Codified Commerce and governed by their own terms of service. 7.2 Codified Commerce is not responsible for the availability, accuracy, or policies of third-party platforms. 7.3 Integration with third-party APIs (Amazon SP-API, Flipkart Seller API, Myntra IRIS API) requires the client to independently obtain and maintain valid seller credentials and API access from the respective platforms.

8. Data & Privacy

8.1 Codified Commerce processes client and end-customer data strictly in accordance with our Privacy Policy and applicable Indian law, including the Digital Personal Data Protection Act 2023 (DPDP Act). 8.2 Admin API access tokens generated during custom app installation are the client's sole responsibility to store and protect securely. 8.3 Codified Commerce does not retain, sell, or share client store data beyond what is required for app functionality and service delivery.

9. Governing Law

This Legal Notice and all matters arising from Codified Commerce's products and services are governed by the laws of India, including:

  • Indian Contract Act 1872
  • Information Technology Act 2000
  • Indian Copyright Act 1957
  • Digital Personal Data Protection Act 2023

All disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

Codified Commerce reserves the right to update this Legal Notice at any time. The version published on codifiedcommerce.com at the time of engagement governs each client relationship. Material changes will be communicated via email to active clients.
