CODIFIED COMMERCE — SUBSCRIPTION POLICY

Effective date: 17 July 2026

1. Overview

This Subscription Policy governs recurring Codified Commerce services purchased through Shopify or another approved recurring-payment system.

Codified Commerce subscriptions provide prepaid access to Workflow Automations delivered according to the selected billing cadence.

The subscription is an execution service. It is not an unlimited consulting, training, staff-augmentation or on-demand support arrangement.

2. Subscription service

A subscription may provide Workflow Automations across:

  • Shopify Setup Support;
  • Shopify Enterprise Support;
  • Shopify Growth Support;
  • or another service expressly identified on the applicable product page.

The applicable service category does not change the all-in-one Workflow Automation pricing model unless a different price is expressly displayed.

3. Available subscription plans

3.1 Weekly Workflow Automation

The weekly plan provides one Workflow Automation during each seven-day billing cycle.

The standard price is ₹10,000 per weekly Workflow Automation.

This generally represents approximately four Workflow Automations during a four-week period, subject to the actual billing calendar.

3.2 Monthly Workflow Automation

The monthly plan provides one Workflow Automation during each monthly billing cycle.

The standard price is ₹10,000 per monthly Workflow Automation.

3.3 Other plans

Codified Commerce may offer additional frequencies, bundles or enterprise retainers through specific product pages.

The plan displayed and purchased at checkout governs the number and frequency of Workflow Automations.

4. Long-term Shopify Growth Support

Shopify Growth Support is designed as a long-term, sequential and compounding service.

The recommended structure is generally twelve months because Store Optimisation, Product Market Fit, Growth Marketing and retention systems build upon one another.

A client who pauses or cancels early retains completed deliverables but may not experience the intended compounding effect.

Statements regarding a recommended twelve-month period do not guarantee revenue or commercial performance.

5. Billing

Subscription fees are charged in advance at the beginning of each billing cycle.

The payment method on file may be charged automatically according to the selected weekly or monthly cadence.

The amount charged will be the amount:

  • displayed at checkout;
  • stated on the applicable product page;
  • or communicated as part of an expressly accepted plan change.

Applicable taxes are included or added as shown on the invoice or checkout.

6. No RFQ or customised Scope of Work

A subscription does not require a new Request for Quote, quotation, proposal or customised Scope of Work for every billing cycle.

The subscription product page, relevant service page, plan description, FAQs, Terms of Service and policies collectively define the subscription.

No separate document is required to activate each recurring Workflow Automation.

Custom enterprise work outside the published subscription model may require a separate written agreement.

7. Workflow determination

The client may communicate business objectives, operational issues and priorities.

Codified Commerce will consider this information but retains professional discretion to determine the workflow that is appropriate for the current billing cycle.

For Shopify Growth Support, each billing cycle may build upon earlier implementation and resulting store data.

The monthly or weekly workflow therefore need not correspond to a fixed activity list prepared at the beginning of the subscription.

8. Resource-allocation discretion

The subscription price purchases one professional Workflow Automation per applicable billing cycle.

Codified Commerce retains full professional discretion over how the workflow fee and execution capacity are allocated among:

  • expert time;
  • analysis;
  • development;
  • applications;
  • AI systems;
  • AI-compute usage;
  • software;
  • research;
  • content;
  • configuration;
  • testing;
  • deployment;
  • and other supporting resources.

The client cannot retrospectively divide the subscription fee into separately priced tasks, hours, pages, applications, consultations or implementation components.

Internal cost allocation and execution-resource usage are exclusively determined by Codified Commerce.

9. Commencement of a billing-cycle workflow

A billing-cycle workflow is considered commenced when Codified Commerce undertakes any substantive action relating to that cycle, including:

  • analysis;
  • project review;
  • workflow selection;
  • resource reservation;
  • research;
  • planning;
  • content preparation;
  • development;
  • configuration;
  • implementation;
  • testing;
  • or deployment.

Execution does not require a separate scope-signoff after every renewal.

Where clarification is genuinely necessary, Codified Commerce may request client information before proceeding.

10. Client cooperation

The client must maintain the access, permissions and information required for execution.

Where a client fails to provide necessary access or information:

  • execution may be paused;
  • delivery may move to a later date;
  • the billing cycle may still be treated as commenced where resources were reserved or work began;
  • and the client may not be eligible for a refund.

The client should respond to material clarification requests within two business days.

11. Meetings and communication

Unless another arrangement is stated on the purchased plan:

  • the monthly plan may include one scheduled review or consultation call per monthly billing cycle;
  • the weekly plan may include one scheduled review or consultation call per weekly billing cycle where operationally required;
  • and unused calls do not carry forward or convert into credits.

Meetings are intended for project alignment, output verification and decision-making.

They do not include training, prompt disclosure, detailed methodology transfer or unlimited consultation.

12. Completion walkthrough

Codified Commerce may provide a completion notification or walkthrough for the relevant workflow.

A walkthrough is limited to confirming:

  • what was delivered;
  • where it is visible;
  • whether the implemented functionality operates;
  • and the current stage of the engagement.

It does not include disclosure of:

  • proprietary rationale;
  • internal prompts;
  • analytical models;
  • workflow architecture;
  • resource allocation;
  • implementation sequences;
  • tool-selection logic;
  • or Codified Algorithmic Thinking™.

13. Proprietary methodology

Codified Commerce performs subscription work using proprietary knowledge, systems and Codified Algorithmic Thinking™.

The subscription grants access to completed Shopify execution outcomes.

It does not grant a licence to:

  • reproduce the methodology;
  • access internal prompts;
  • receive internal working documents;
  • reverse-engineer workflows;
  • train another provider using Codified Commerce’s systems;
  • or obtain reusable process instructions.

Training or formal knowledge transfer must be expressly purchased separately.

14. Third-party charges

The subscription price does not automatically include third-party Shopify application fees, advertising expenditure, platform subscriptions, premium themes, licences or external service charges.

The client remains responsible for third-party recurring fees approved on the client’s Shopify account.

Codified Commerce may replace or recommend third-party tools where reasonably appropriate.

15. Auto-renewal

Subscriptions renew automatically at the end of each billing cycle until paused or cancelled in accordance with the available subscription-management process.

The client is responsible for cancelling before the next renewal date when they do not wish to be charged for the next cycle.

16. Pausing and skipping

Where supported by the subscription system, a client may pause or skip a future billing cycle through the subscription-management portal.

A pause applies prospectively.

It does not reverse:

  • a completed charge;
  • a commenced workflow;
  • committed resources;
  • or completed work.

Paused subscriptions do not receive Workflow Automation delivery during the paused period.

17. Cancellation

A client may cancel the subscription through the available subscription-management portal or by contacting Codified Commerce.

Cancellation ordinarily takes effect at the end of the current paid billing cycle.

Cancellation does not cancel or refund a workflow that has already commenced.

Where a minimum commitment has been expressly displayed and accepted at checkout, the applicable minimum-commitment terms will govern early cancellation.

A recommendation to complete twelve months is not itself an early-cancellation penalty unless the minimum commitment was expressly disclosed and accepted at purchase.

18. Refunds for subscription charges

A client may request cancellation and refund of a newly charged billing cycle only when:

  • the request is received within 24 hours of the charge;
  • no workflow analysis, planning or execution has commenced;
  • and no resources have been reserved for that cycle.

Once the billing-cycle workflow has commenced, the charge is non-refundable.

No partial-period refund is provided for:

  • unused days;
  • unused meeting time;
  • early cancellation;
  • dissatisfaction with an unguaranteed commercial outcome;
  • or failure to use the service after execution has commenced.

Where Codified Commerce is entirely unable to execute the purchased workflow for reasons solely within its control, Codified Commerce may provide:

  • a replacement workflow;
  • a service credit;
  • or a refund for the affected billing cycle.

19. Unused workflows and carry-forward

A workflow does not automatically carry forward merely because the client did not attend a call or make use of support.

Where execution could not proceed because the client failed to provide required access or information, Codified Commerce may allow a reasonable rescheduling period at its discretion.

Unused workflow entitlements have no cash value and cannot be transferred to another client or store without written approval.

20. Plan changes

A client may request an upgrade, downgrade or change in billing frequency.

Plan changes ordinarily take effect from the next billing cycle unless otherwise agreed.

Changing plans does not retrospectively alter already charged or commenced workflows.

21. Price changes

Codified Commerce may revise subscription prices for future billing cycles.

Active subscribers will receive reasonable notice of a material price change where required.

Continued subscription after the effective renewal date constitutes acceptance of the revised price.

22. Suspension

Codified Commerce may suspend workflow execution where:

  • payment fails;
  • required Shopify access is unavailable;
  • the client materially breaches the Terms;
  • the client requests unlawful or prohibited work;
  • the client engages in abusive conduct;
  • or there is a risk to Codified Commerce systems or intellectual property.

Suspension caused by the client does not automatically pause subscription billing unless Codified Commerce confirms otherwise in writing.

23. Termination by Codified Commerce

Codified Commerce may terminate a subscription where the client:

  • repeatedly fails to cooperate;
  • materially breaches published policies;
  • attempts to extract or misuse proprietary know-how;
  • infringes intellectual property;
  • misuses Shopify access;
  • or creates an unreasonable operational or legal risk.

Where termination occurs after a workflow has commenced, the current billing-cycle fee remains non-refundable.

24. Results and performance

The subscription provides professional workflow execution.

It does not guarantee:

  • revenue;
  • rankings;
  • traffic;
  • conversions;
  • leads;
  • profitability;
  • Product Market Fit;
  • or return on investment.

A client’s decision to pause or terminate before completion of the recommended growth period may interrupt the compounding workflow.

25. Relationship with the Terms of Service

This Subscription Policy must be read together with the Codified Commerce Terms of Service.

Where this policy specifically addresses subscription billing, renewal, pausing or cancellation, this Subscription Policy applies.

For all other matters, the Terms of Service apply.
