Codified Commerce — Terms of Service

1. About Codified Commerce

Codified Commerce (codifiedcommerce.com) is a Shopify Expert agency delivering task-based commerce execution for B2B merchants, SMBs, and enterprise clients globally, powered by the Codified Algorithmic Thinking™ framework.

Codified Commerce operates as a structured execution model delivered in two modes:

  • DIY (Do It Yourself) — clients execute independently using the Codified Algorithmic Thinking™ playbook and Shopify Sidekick AI guidance
  • DFY (Done For You) — Codified Commerce's expert team executes directly on behalf of the client through store builds and expert task execution

All Codified Commerce products and services are execution deliverables — not courses, not subscriptions, and not training programmes.

2. Products & Services

2.1 Shopify Sidekick AI Store (DFY) Codified Commerce delivers production-ready Shopify stores built to client specifications. This includes store architecture, theme setup, navigation, product catalogue structure, payment gateway configuration, and full handover documentation — delivered as a fully functional Shopify storefront ready for launch.

2.2 Shopify Sidekick AI Expert Tasks (DFY) A managed AI execution service where Codified Commerce's certified experts execute specific Shopify admin tasks on behalf of the client using Shopify's native AI assistant. Priced at ₹10,000 per automation. Each task is scoped, confirmed, and executed only upon explicit client approval. This is not a subscription or retainer — tasks are consumed individually.

Codified Commerce is an independent Shopify Partner and expert service provider. "Shopify Sidekick" is a registered product of Shopify Inc. Codified Commerce's Shopify Sidekick AI Expert service describes our expertise in using Shopify's AI tool on behalf of clients. We are not affiliated with, endorsed by, or acting as an agent of Shopify Inc. in delivering this service.

2.3 Codified Algorithmic Thinking™ (DIY — Digital Product) A proprietary commerce intelligence playbook delivered as a PDF digital product. Contains structured decision sequences across 10 commerce modules — engineered to run natively inside the client's Shopify Sidekick AI. Fulfilled exclusively to clients who have successfully onboarded onto the Codified Commerce Shopify Sidekick AI Store.

3. Shopify Sidekick AI Expert — Specific Terms

3.1 Automation Scope — Each ₹10,000 task covers one clearly defined Shopify admin action — product updates, discount creation, analytics queries, Flow automation setup, theme adjustments, or similar. Complex multi-step tasks may be scoped as multiple units prior to execution.

3.2 Automation Confirmation — Work begins only after the client confirms the task scope in writing. No task is executed without explicit written approval.

3.3 Automation Delivery — Tasks are typically completed within 24–72 business hours of confirmation, depending on complexity.

3.4 Admin Access — The client must grant Codified Commerce collaborator access to their Shopify admin for task execution. Access is revoked upon task completion unless an ongoing engagement is agreed in writing.

4. Pricing & Payment

  • Shopify Sidekick AI Store: ₹10,000 per automation
  • Shopify Sidekick AI Expert: ₹10,000 per automation
  • Codified Algorithmic Thinking™ Playbook: As listed on the product page

Payment is due in full prior to commencement of work. For enterprise engagements, milestone-based payment schedules may be agreed separately via a written Statement of Work (SOW).

5. Delivery

  • Shopify Sidekick AI Store: Delivered within 2–3 weeks from scope confirmation and payment receipt, subject to client responsiveness.
  • Shopify Sidekick AI Expert Tasks: Within 24–72 business hours from written task confirmation.
  • Codified Algorithmic Thinking™ Playbook: PDF delivered via email within 24 hours of confirmed Shopify Sidekick AI Store onboarding.

All deliverables are handed over digitally including credentials, documentation, and handover walkthrough where applicable.

6. Intellectual Property

6.1 Shopify's platform, APIs, and trademarks remain the exclusive property of Shopify Inc.

6.2 Upon full payment, the client receives a non-exclusive licence to use the delivered store build and associated configurations on their Shopify store.

6.3 Codified Commerce retains ownership of all underlying frameworks, methodologies, Codified Algorithmic Thinking™ framework components, and reusable execution modules.

6.4 The Codified Algorithmic Thinking™ Playbook is licensed for single-store use only. Redistribution, resale, sublicensing, or sharing of any module — in whole or in part — is strictly prohibited and constitutes IP infringement under the Indian Copyright Act, 1957 and the Trade Marks Act, 1999.

6.5 Client-specific configurations, data, and store content remain the property of the client.

7. Admin Access & Data Security

7.1 Codified Commerce will only request collaborator access scopes strictly necessary for each task or engagement.

7.2 Client data accessed via Shopify admin (orders, inventory, customers) is used solely for task execution and is not shared with third parties.

7.3 Admin API access tokens generated during any custom engagement are the client's sole responsibility to store and protect securely.

8. Refund Policy

8.1 Shopify Sidekick AI Store: No refund once development has commenced. If Codified Commerce is unable to deliver the agreed scope, a full refund will be issued.

8.2 Shopify Sidekick AI Expert Tasks: No refund once a task has been executed and delivered. If a task cannot be completed due to platform limitations or access issues within Codified Commerce's control, the full task fee will be refunded.

8.3 Codified Algorithmic Thinking™ Playbook: All sales are final once the PDF has been delivered. Refund applicable only if delivery fails and cannot be rectified. See full Refund Policy at codifiedcommerce.com/policies/refund-policy.

8.4 All refund requests must be submitted in writing to support@codifiedcommerce.com within 7 days of the delivery date.

9. Limitation of Liability

Codified Commerce does not guarantee specific business outcomes including sales, revenue, search rankings, or regulatory approvals. Our liability is limited to the amount paid for the specific product or service in question. We are not liable for indirect, consequential, or incidental damages arising from the use of our products or services.

10. Eligibility

Codified Commerce serves Shopify merchants at all stages — from new store launches to enterprise B2B operations — who require structured, task-based execution. The Codified Algorithmic Thinking™ Playbook is available exclusively to clients who have completed Shopify Sidekick AI Store onboarding with Codified Commerce.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India under the Indian Contract Act, 1872 and the Information Technology Act, 2000. Any disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

12. Changes to Terms

Codified Commerce reserves the right to update these Terms periodically. Continued engagement with our products or services implies acceptance of the revised terms. Material changes will be communicated via email to active clients.
