Terms of Service

1. Parties and acceptance

These Terms govern purchases and use of services provided by Codified Commerce, a partnership firm operated by Ramesh Babu J and Suganthi S, with its registered office at 51/1, P&T Nagar, IT SEZ Corridor, Saravanampatti, Coimbatore – 641035, Tamil Nadu, India. By ordering, renewing, approving a scope or using a deliverable, the customer accepts these Terms together with the checkout, order and approved written scope.

2. Services and Automation unit

Codified Algorithmic Thinking™ (CAT AI) is a done-for-you AI system for Shopify Automations managed by Codified Commerce experts. The customer purchases an Automation, states the business goal and provides approved access; no customer-facing AI dashboard or self-built automation is required. Machine Experience checks what is in place, Moving Target identifies what needs attention, and Next Product Move directs the next action. CAT AI runs approved work with expert oversight where needed, and closes the cycle when the approved action is complete. Work may include Shopify store preparation, growth intelligence and ChatGPT Advertising, subject to the agreed scope and platform eligibility.

One Automation covers one approved outcome and its documented requirements, boundaries, dependencies, exclusions and acceptance criteria; it does not provide unlimited tasks or guaranteed commercial results. The standard price is ₹10,000 per Automation, paid in full before work starts; the actual price, taxes and renewal frequency shown on the product page and at checkout govern the purchase. Monthly or weekly subscriptions are available when displayed at checkout. Advertising media spend and third-party charges are separate by default unless an approved written scope expressly includes them and specifies the allocation. Conversion rate optimization is included where relevant to the approved scope, not as an unlimited separate deliverable.

CAT AI uses Machine Experience, Moving Target and Next Product Move to assess the approved goal, choose the next action and run the Automation. Codified Commerce experts manage the system and provide oversight where needed, including for consequential customer-facing, commercial or platform actions. The customer retains responsibility for approvals and business decisions expressly assigned to them in the approved scope.

3. Scope and changes

The approved requirement and acceptance criteria control delivery. Estimates, examples, blog posts, FAQs and sales discussions are not fixed deliverables unless incorporated into the approved scope. New requirements, redesign after approval or material dependency changes may require revised timing, additional fees or another Automation.

4. Customer responsibilities

The customer must provide accurate instructions, lawful content, timely approvals, secure access and authority to use all supplied data and materials. The customer remains responsible for business decisions, regulatory compliance, product claims, taxes, platform accounts and final approval of customer-facing content.

5. Fees and commencement

Each Automation and subscription cycle is charged in full in advance. Part payments are not available. Work commences when CAT AI or the team begins substantive analysis, research, planning, configuration, content production, testing, deployment or implementation for the approved scope. Taxes and third-party charges are additional where applicable unless an approved written scope expressly includes them.

Advertising budgets and access: Advertising media spend is separate from the Automation or subscription fee by default. Only an approved written scope may include a combined management and media budget, and it must state the allocation, account ownership, payment responsibility and refund treatment. Advertising platform access, geography, campaign approval, measurement and billing remain subject to the relevant provider. Codified Commerce does not guarantee eligibility to advertise on ChatGPT or represent itself as an official OpenAI advertising partner.

6. Subscriptions

Monthly or, where offered, weekly subscriptions auto-renew at the displayed checkout amount and frequency until cancelled. Each recurring charge is paid in full. Cancellation is prospective at the end of the paid cycle. Each cycle ordinarily covers one approved Automation, not unlimited service. Refund eligibility is governed by the Refund and Subscription Policies.

7. Delivery, review and defects

Delivery occurs when the agreed output is deployed, handed over, demonstrated or made available for review. Specific defects or missing agreed items must ordinarily be reported within seven calendar days. Codified Commerce will have a reasonable opportunity to cure verified defects. New requests are not defects.

8. Intellectual property

The customer retains rights in materials it supplies. Upon full payment, the customer receives the rights expressly stated for client-specific final deliverables. Codified Commerce retains all pre-existing and reusable methods, prompts, systems, templates, libraries, generalized code, know-how and Codified Algorithmic Thinking™, including associated applications and records such as 7691488 and SW-24929/2026-CO 278728. Open-source, Shopify and third-party materials remain subject to their own licenses.

9. Confidentiality and data

Each party must use reasonable care to protect non-public information and use it only for the engagement or legal obligations. Processing of personal information is governed by the Privacy Policy. The customer must not transmit passwords, secrets or unnecessary personal data through unsecured channels.

10. Third-party platforms

Shopify, AI providers, search engines, advertising platforms, app vendors and other services control their own availability, eligibility, approvals, APIs, fees, algorithms and policies. Codified Commerce is not responsible for their independent acts, outages or changes.

11. No guaranteed results

Codified Commerce does not guarantee sales, revenue, traffic, rankings, indexing, AI recommendations, advertising approval, leads, conversions, profitability or return on investment. Case studies and forecasts are illustrative and results vary.

12. Public content

Blogs, guides, assessments and FAQs are educational and non-contractual. They are not legal, tax, accounting, financial or investment advice.

13. Portfolio use

Unless confidentiality or an approved written restriction applies, Codified Commerce may identify publicly available work and non-confidential outcomes in its portfolio or case studies. Confidential information and unpublished client data will not be intentionally disclosed.

14. Suspension and termination

Either party may terminate as permitted by the order or applicable policy. Codified Commerce may suspend work for non-payment, missing access, unlawful instructions, misuse, security risk or material breach. Amounts earned for commenced work remain payable.

15. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or lost-profit damages. Codified Commerce’s aggregate liability relating to an affected Automation or subscription cycle is ordinarily limited to the amount paid for that specific Automation or cycle. Nothing excludes liability that cannot lawfully be excluded.

16. Indemnity

The customer will be responsible for third-party claims arising from unlawful customer instructions, supplied materials, product claims, infringement, misuse of deliverables or breach of these Terms, to the extent permitted by law.

17. Relationship

Codified Commerce is an independent service provider and independent Shopify Partner. Nothing creates employment, partnership, franchise, fiduciary or agency relations between Codified Commerce and the customer or between Codified Commerce and Shopify.

18. Order of precedence

For a conflict, the specific checkout/order and approved written scope prevail for commercial and delivery details, followed by these Terms and the applicable policy. Mandatory law always prevails.

19. Governing law

These Terms are governed by Indian law. Subject to mandatory law, courts at Coimbatore, Tamil Nadu have exclusive jurisdiction.

20. Updates

Policies may be updated prospectively to reflect operational, legal or platform changes. The effective date will be displayed. Material changes affecting an active subscription will be handled through required notice or consent mechanisms.
